Interpretation and Definitions

Interpretation

Words with capitalized first letters have meanings defined under the following conditions. These definitions apply whether they appear in singular or plural form.

Definitions

For the purposes of these Terms and Conditions:

  • Company (referred to as “we,” “us,” or “our”) refers to Crossroads Mechanical, a mechanical contractor operating in Michigan.
  • Customer (referred to as “you” or “your”) means the individual or business requesting our HVAC or mechanical services.
  • Service refers to any mechanical, HVAC, boiler, control, or related service provided by the Company.
  • Agreement refers to these Terms and Conditions, as well as any written quotes, contracts, or invoices issued by the Company.
  • Site refers to any property where services are performed.

Acknowledgment

These Terms govern the use of our services and form the agreement between you and the Company. By accepting a quote, signing a contract, or allowing work to begin, you agree to these Terms. If you do not agree, please do not proceed with our services.

Estimates and Contracts

  • Estimates are valid for 30 days unless stated otherwise.
  • A signed proposal or written approval is required before scheduling or starting work.
  • Prices may change if additional work or materials are required due to unforeseen conditions (e.g., failed components, unsafe access, or code-related issues).
  • Changes to the original scope may result in additional charges.

Scheduling and Project Timeline

  • We strive to complete projects as scheduled, but delays may occur due to material availability, weather, or access limitations.
  • If rescheduling is necessary, we require at least 48 hours notice.
  • Last-minute cancellations may result in a cancellation fee or rescheduling surcharge.

Payment Terms

  • A deposit may be required prior to ordering equipment or beginning work.
  • Final payment is due upon completion unless otherwise agreed.
  • Accepted payment methods include check, ACH, credit card, or other approved options.
  • Late payments may incur a 10% monthly late fee.
  • Invoices unpaid after 30 days may be sent to collections or result in a lien on the serviced property.

Customer Responsibilities

  • Ensure safe and timely access to the job site during working hours.
  • Provide necessary information on system history, prior service, or known issues.
  • Notify us of any operational restrictions, sensitive equipment, or safety concerns.

Workmanship and Warranty

  • We stand behind our workmanship for 1 year from completion unless otherwise specified.
  • This warranty covers defects due to improper installation or service—not wear, misuse, or conditions beyond our control.
  • If a warranty issue arises, we will assess and resolve it promptly in a professional manner.

Limitations of Liability

  • We are not liable for pre-existing system conditions or hidden defects (e.g., clogged lines, failing controls, etc).
  • We are not responsible for loss of use, indirect damages, or failures due to neglected maintenance.
  • Our liability is limited to the cost of services rendered under the Agreement.

Job Site Conditions

  • We will take reasonable steps to protect property and minimize disruption.
  • Mechanical work can involve heat, pressure, fumes, or noise. Customers should take precautions as needed.
  • If hazardous materials (e.g., asbestos, refrigerants, lead piping) are encountered, work will pause until they are properly addressed.

Termination

  • We reserve the right to suspend or terminate service if:
    • Payments are not made per agreement.
    • Unsafe or noncompliant conditions exist.
    • Scope is changed without proper documentation.
  • If canceled by the customer mid-project, charges for completed work, mobilization, and purchased materials will apply.

Governing Law

These Terms are governed by the laws of the State of Michigan.

Dispute Resolution

  • We aim to resolve issues professionally and promptly.
  • If a dispute arises, both parties agree to seek resolution through direct communication and, if necessary, mediation or arbitration before pursuing legal action.

Changes to These Terms

We may update these Terms from time to time. The latest version will always be available on our website or by request.
